No idea on the CPU and REX2, although I know the props will license code to read/play REX2 free.

Pace I-Lok is essentially a USB dongle that your auth code goes into, similar to what Steinberg (Synchrosoft) and NI Reaktor 3 (Wibu) used. I don't know how reliable it is, although Pace's C/R protection had a spotty reputation for a while. The I-Lok dongle can hold auth codes for multiple products.

A final consideration: MOTU is MUCH stronger on their Mac products than on the Windows products.

thats kinda better than i thought what pace was. i thought it was some sort of system that you had to be contanly connected to the internet to use your product.

Read that as they make a mac DAW (Digital Performer), but not a windows DAW, like Sonar does for PC. They do have decent windows drivers for their hardware in my experience, don't know about the Mach 5, though I've heard the library that comes with it is good.
I would cruise some forums and check out what early adapters are saying. Oh wait...Doh! Shocked
