Hmmm... this is starting to smell just like an online distribution deal. Like I said, ask them what they are going to do for you, better still, get it in writing :) (I'm hearing warning bells)

I've had an offer like this before. As soon as I started asking questions, they kinda went quiet :)... I.e. same deal, no money up front for sure, no interest in me as a person/artist... keep probing

I've had an offer from them before ^, and refused it, but I didnt look into it that much, I just didnt understand it properly.

Your contract must specify whether it covers only the USA, USA + some other countries, worldwide etc.

We just had a lesson at the Uni about publishing deals in particular (we're doing a module on the audio production industry with a well known manager/producer etc.). As someone already said, it's not a good idea to have licensing and publishing with the same company. Also, the 50/50 on publishing is so bad, it is actually illegal here in the UK - it's legal and actually common in France, though, I don't know about the US. Here it ranges from 70/30 to 80/20 (the artist gets the big chunk).

I know it's gonna cost you, but the best thing is to seek advice from a media lawyer.

A very good reading to get a perspective about contracts etc. in the music industry is "All you need to know about the music business" by Donald S. Passman.

Hmmmm, it might be a good idea to start a thread "Which companies have e-mailed you with offers of a contract?". Then we can build a list of the frequent offenders :) hehe
