i search for a vst that would work like this:
you have let's say 2 audio signals that go into this audio-merging vst. now the plugin does something like that - if the first signal is playing, it goes straight through the merger. but if the second signal is playing it goes thorugh the merger and automatically mutes the first signal.

so it is very similar to the "talkover" effect used in audio mixers...

any recommendations ?

um, a sidechain compressor? there are a few around here if you look for them. i'm just using the mackie one that comes with tracktion, though.

not really a compressor. i mean a compressor does just lower the signal of the second input and not cutting it out completely

What you're describing is called a sidechain compressor. What it does is basically receive an extra input (hence sidechain) which mutes the primary input when active. This should get you started.

sadist, are you asking for a COMPLETE REPLACEMENT of the signal?

few (any?) sidechain compressors allow a threshold setting of -100dB and 1:infinity ratio.
For complete muting, maybe one of the modular hosts would allow you do build something using OR logic with an audio summing module. Reaktor?
