It just seems to me from this that they are going to close German branch and may move remaining customers under US branch. I have not received that letter.

From November 20 I have this message (still no payment from July until today):

Your patience in this matter is greatly appreciated. We can confirm that your MyCommerce account has been closed.

We can confirm that the KYC requirement was recently completed and updated in our system. We will notify our Accounts Payable team. You will be expecting a payment notification."

Because they haven't paid out money to many publishers still for July , August nor September, and even for October, there's still money in the company obviously. And they are trying to extract that money via salaries, bonuses, whatever etc before going to close down. But they will close down for sure, it's just a matter of time. Just waiting for their accounts to go 100% negative. This change in contract is preparing for that.
If they go bankrupt now, all accounts would be frozen and some still have money in them.
Important for them to pretend they are not trading insolvent as long as possible.

Yes, I think they have found a jurisdiction in US that is most favorable for what they want to do. And I'd guess that is not about going bankrupt, but claiming that they are not obliged to pay anybody and that any demands are invalid. Probably legislation in EU is not favorable for them.

Latest update after completing the KYC:
For your pending payments, currently we don't have any exact date yet on when payments will be release. Please know that we are currently treating the payment issue as a top priority matter. We are engaged with our accounting and working to get this issue resolved as soon as possible.
Yet we have to pay 10 hours for 3 accounts KYC, lol

So, according to them, it's completely normal not to pay publishers for months after you sold their products, and do not even give them an explanation , and charge them money every time they enquiry about it. They are in breach of their own contracts with hundreds of parties, but do not feel the need to give an explanation why. And they want to keep doing business too! lol

I am actually surprised about the number of vendors still interacting with this entity and sincerely hoping there will be a full payout at some point.

Not a lawyer either, but German business owners. As you assume and basic checks confirm - it's not possible to operate the GmbH outside the German/EU legal framework and pick jurisdiction outside Germany to your liking.

We also want to inform you that we have changed the registered address in the Master Services Agreement to Digital River GmbH, Wiesenhüttenstraße 11, 60329 Frankfurt am Main, Germany.
The seat of the GmbH is still in Cologne, but the business address changed to Frankfurt almost 4 years ago (07.12.2020, see https://www.handelsregister.de, CD - Chronological hard copy printout) . Seems that you can be still registered in Cologne, jurisdiction then also in Cologne, while only holding a Frankfurt business address.

We ourselves stopped interacting with this ghost company after issuing refunds for the affected period. Based on our own Due Diligence / KYS Know-Your-Supplier responsibilities, so to speak.The control panel access is locked now. So Digital River GmbH is not providing any services already, and do not have a base for any charges besides the refund amount (which offsets their outstanding payments).

Thanks for clarifying the GmbH governed by the USA law issue.

I've canceled the contract by a registered snake mail and using their 185 EUR chat as well.
The snake mail is not delivered up to now.

I have deactivated my products in the DR panel and do not use it anymore. No interest what they say and unilaterally decide.

Actually I sell my products with PayPro Global.
The onboarding was a piece of cake, quick response time, transparent dashboard and selling report.

The only worry - after the business goes again, products are sold, their support has stopped to react. No response for a week. I hope, I do not need to search for a next merchant of record next month...

No worries. The skype support disappears when the store is set up correctly. We got started with PayPal Pro at the middle of Oct and received three payouts (two per months via Payoneer.)

By the way, for this DR case, don't put all eggs in one basket. Better go with two MoRs to avoid the same issue in future.

Now, we are working with PayPro and Fastspring and both of them are fine. Great support and timely payout.

Question for the German businesses using Fastspring, since this forum is about DR alternatives, and many others have already mentioned Fastspring:

What we did like about shareit/Digital River (back then when it worked), is how their monthly transfer came with a matching credit note / German "Gutschrift" / as explained here:

I see that in Fastspring I can create a monthly "Payout Statement". Is this the relevant document that Fastspring provides, comparable to the MyCommerce / Digital River "credit note"? Or is there a different type of receipt / credit note that can be obtained from Fastspring and that is required for bookkeeping?

We're in exactly the same situation, i.e. we changed from DR to FastSpring and the monthly/bi-monthly (depending on which payout interval has been set for your account) payout statement is exactly the document you're looking for. Also note that unlike with MyCommerce which is a German company, the payout you receive is VAT exempt because FastSpring is US based.
