Win2K would run just fine on that setup.
I'm running a 2100XP (1.8Ghz) with 512MB on win2k, and it runs great.

Also bear in mind that Jules has said he's working on code to make T2 backwards compatible with windows 98/Me machines. He had to go unicode to support foreign language machines, but is now trying to make it run on 9x boxes.
Weighing up all options though, it seems that Tracktion releases will be much further apart than they were about a year or so ago (I assume Mackie are beta testing in house these days before a point release) and we've no idea how long it might take the big man to code it. So although T2 probably *will* work on 98/Me in future, it might be quicker for you just to upgrade your machine to 2k/Xp
